MFW Fiałek advised PZU Zdrowie S.A. on the acquisition of a healthcare company specialising in diagnostic imaging by Bonus-Diagnosta sp. z o.o., a PZU Zdrowie S.A group company. The transaction involved the acquisition of 100% of the target’s shares and thus adding two new magnetic resonance imaging centres to PZU Zdrowie’s medical network.

We are pleased to announce that Karolina Woronowicz has joined our team in April as a Senior Associate, strengthening our M&A practice.

Karolina has over ten years of experience in providing legal services to businesses, in particular in the area of corporate governance and transactional advice. She has advised on joint venture and real estate transactions. She has worked with private companies and companies with the State Treasury shareholding.

In her practice Karolina has advised on share deals and assets deals. She has represented clients in merger clearance proceedings before the President of the Office for Competition and Consumer Protection and has carried out numerous due diligence reviews of companies and real property.

Karolina is experienced in providing day-to-day corporate services to companies, including their incorporation, transformation and liquidation, as well as drafting their internal documents. She managed a team of lawyers providing corporate services and day-to-day legal advice in one of the largest Polish joint-stock companies.

Attorney-at-law at the Warsaw Bar Association of Attorneys-At-Law. She completed the post-graduate studies in Europäisches und Internationales Wirtschaftsrecht (European and International Business Law) at Ludwig-Maximilians-Universität München. She graduated from the Faculty of Law and Administration at the Adam Mickiewicz University in Poznań.

Prior to joining MFW Fiałek she cooperated with renowned Polish law firms and worked as an in-house lawyer at a transport company owned by the Polish State Treasury.

We are pleased to announce that MFW Fiałek is a finalist of 2022 Polish Private Equity and Venture Capital Association Awards (Nagrody PSIK) in the “Legal Advisor of the Year – Private Equity” category.

The aim of Nagrody PSIK is to recognise private equity/venture capital funds managers, advisors, banks and law firms for their achievements on the Polish PE/VC market and charitable initiatives. From its first edition in 2018, Nagrody PSIK promote the highest professional standards in the PE/VC industry and PE/VC investors contribution to the growth of Polish companies.

Nagrody PSIK are organised by the Polish Private Equity and Venture Capital Association (PSIK). Since 2002 PSIK has been representing the interests of the Polish PE/VC community and supporting its development. The Polish Private Equity and Venture Capital Association (PSIK) members include the representatives of the PE/VC fund managers active in Poland as well as law firms, banks and advisors active on the PE/VC market.

The ceremony to award the winners of this year’s competition will take place on 19 September 2022.

• Grzegorz Policht – associate, attorney-at-law. In his practice he has advised clients on share deals and asset deals, as well as assisted clients in connection with the investment agreements. Moreover, he has repeatedly taken part in company due diligence exercises. He has experience in company law and in providing legal services to the companies operating in the technology sector, as well as in providing transactional advice on mergers and acquisitions and venture capital investment agreements.
• Mateusz Więckowski – associate, trainee advocate. Mateusz has earned his professional experience advising on mergers and acquisitions in private equity and venture capital sectors. He supports clients in due diligence exercises and in drafting and negotiating the transaction documents, both in share deals and asset deals. He has provided advice on corporate law and corporate governance.
• Adrianna Kłoda-Szczesna – junior associate, trainee attorney-at-law. Adrianna has gained experience advising on corporate law, commercial law and anti-money laundering and countering terrorist financing regulations. She has participated in both share and asset deals, including the real estate ones. She has repeatedly participated in real estate due diligence exercises. Adrianna is experienced in providing ongoing corporate services to companies, including their incorporation, transformation and drafting their internal and registration documents.
• Julita Koss – assistant. She has gained her professional experience, among others, in the banking and finance practice of a Warsaw-based law firm, where she has provided administrative and office support.

Develia S.A. joins forces with another real estate company with the support of our lawyers. We advised Develia S.A. on signing a letter of intent on a joint venture with Hillwood Polska sp. z o.o.

As part of the joint venture, the companies intend to develop a logistics centre with a minimum area of 400,000 square metres located in Malin near Wrocław. The estimated value of the entire project will exceed PLN 1.5 billion.

We provided Develia with comprehensive legal advice on this complex joint venture, in particular on drafting the documents and negotiating the terms of the transaction.

MFW Fiałek advised Music & More sp. z o.o. on acquiring an international financial investor. In the transaction a Luxembourg fund acquired the minority share of the client’s share capital.
