We advised Bielenda on the acquisition of SHE Cosmetic Lab

MFW Fiałek advised Bielenda Kosmetyki Naturalne, an Innova Capital portfolio company, on the acquisition of SHE Cosmetic Lab, a Polish cosmetics company specialising in hand and foot care products.

Comprehensive legal advice throughout the transaction included, in particular, conducting the target’s legal due diligence as well as and drafting and negotiating the transaction documents.

The transaction team was led by Mirosław Fiałek – Partner, and included Rafał Siemieniec – Counsel, Paweł Siwiec – Associate, Wojciech Lichterowicz – Associate, Natalia Chojnowska – Junior Associate and Barbara Kwaśnicka – Junior Associate.

Bielenda Kosmetyki Naturalne sp. z o.o. is a leader of the Polish cosmetics market. In January 2020 it acquired two large brands: Soraya and Dermika. The subsequent acquisitions not only expand the range of cosmetics, but also strengthen Bielenda’s position on the domestic market and increase the competitiveness of Polish products, also abroad.

SHE Cosmetic Lab sp. z o.o. is a manufacturer of specialised natural hand and foot care cosmetics and accessories. Its portfolio includes such brands as SHE HAND, SHE FOOT and MAN FOOT.

Kacper Dzik has joined the M&A team

We are pleased to announce that Kacper Dzik has joined our team as a Senior Associate, strengthening our M&A practice.

Kacper has over ten years of experience in providing legal services to businesses, company law and transactional advice. For more than five years he has been involved in providing legal advice on the acquisitions and disposal of companies and their components, as well as on real estate issues.

Kacper has advised on share deal, asset deal and joint venture transactions. He has extensive experience in providing day-to-day legal advice to companies, including their establishment, mergers and preparation of corporate documents. He has participated in due diligence analyses of numerous companies with a resulting red flag report.

In his career to date he has advised companies from various business sectors, including construction, property development, retail, telecommunications, logistics, automotive, postal, waste treatment, insurance, new technologies and alternative energy sources.

Attorney admitted to the Warsaw Bar Association. He graduated from the Faculty of Law and Administration at the Warsaw University, majoring in Law, and completed a general legal training course at the National School of Judiciary and Public Prosecution in Kraków. He also completed postgraduate studies “Energy Academy” at the Warsaw School of Economics.

Prior to joining MFW Fiałek he cooperated with the leading Polish law firms.

Barbara Kwaśnicka has joined the M&A team

We are pleased to announce that Barbara Kwaśnicka has joined our team as a Junior Associate strengthening our M&A practice.

Barbara has a few years of experience in the area of company and business law, as well as in transactional advice on mergers and acquisitions.

In her practice she has advised clients on group restructuring.

Barbara is also experienced in providing ongoing legal advice to companies, including their establishment, transformation, liquidation and preparation of internal and registration documents.

She is a trainee attorney-at-law of the Warsaw Bar Association. She graduated from the Faculty of Law and Administration at the Warsaw University, majoring in Law. She also holds a BSc in Finance and Accounting from the Warsaw School of Economics.

Prior to joining MFW Fiałek she cooperated with one of the leading Polish law firms.

We advised Develia S.A. on a PLN 125 million joint venture with Grupo Lar

MFW Fiałek has advised Develia S.A. on a joint venture transaction with Grupo Lar Holding Polonia and Lar Management Polonia, the companies of the Spanish group Grupo Lar. The transaction with the total value of approx. PLN 125 million involved the completion of a few development projects located in Warsaw in which over 600 apartments would be built.

Comprehensive legal advice on the transaction included in particular drafting and negotiating the transaction documents and applying for the clearance consent to the President of the Office of Competition and Consumer Protection. The work of the transaction team was managed by Rafał Siemieniec (Counsel) and Mirosław Fiałek (Partner). The team also included: Paweł Siwiec (Associate) and Wojciech Lichterowicz (Associate).

The conducted transaction is another milestone in the development of MFW Fiałek’s transactional practice in the area of real estate and joint venture projects.

We advised on obtaining financing for the development of Biomed-Lublin

Sebastian Bogdan led a team of lawyers advising on the acquisition of financing for development projects by Biomed-Lublin Wytwórnia Surowic i Szczepionek S.A.

The advisory covered cooperation with IPOPEMA Securities S.A. and the Company on the creation of contracts, including the Investment Agreement and the Offering, under which the existing shareholders have successfully provided financing for the Company in the amount of PLN 34 million. The financing was based on the sale, through IPOPEMA, of shares borrowed from the main shareholders of Biomed-Lublin.

The process of obtaining capital in the form of equity was divided into two parts. In the first one, over PLN 21 million was accumulated as a result of the sale by IPOPEMA of 1,734,798 shares at an average price of PLN 12.33 per share. These funds were used to finance the own contribution of the project to create the BCG Biotechnological Innovation Center for the improvement of technologies related to the prevention of tuberculosis and immunology in the treatment of cancer diseases. A subsidy for the implementation was granted by the Minister of Finance, Funds and Regional Policy in the amount of almost PLN 30 million.

The funds from the second part of the capital raising process will be used to finance the project’s own contribution to the implementation of the production of a bladder cancer immunotherapy product. For the implementation of this project, a grant was received from the Polish Agency for Enterprise Development in the amount exceeding PLN 43 million.

Our team took part in the Poland Business Run 2021

Last Sunday, in Fort Bema, the team of our law firm consisting of: Paweł Siwiec, Dorota Leszczyńska, Olga Kotyńska, Natalia Chojnowska, Rafał Siemieniec, took part in the charity run Poland Business Run 2021.

Poland Business Run is the largest charity business run that helps fulfill the dreams of amputees. The initiative aims not only to support people with disabilities, but also to promote an active lifestyle and integrate the local community with business. The run has been organized since 2012. The distance for each competitor is 4 km.

It was a great time to integrate our team and, most importantly, we did something good supporting the Poland Business Run Foundation.

The advisory services covered the full spectrum of activities related to the prospectus and representation of the Issuer before the Polish Financial Supervision Authority until obtaining the decision approving the prospectus.
