For transactions subject to notification, M&A deals require clearance from the Polish Competition Authority (UOKiK), which usually takes between 1 and 4 months.
If the statutory conditions are met (e.g. the combined turnover of the parties to the transaction exceeds certain thresholds) a merger notification to UOKiK is required. The procedure involves filing the application and an analysis by the office to determine whether the transaction will lead to an overly strong position of the combined businessess in relation to their competitors and customers. The duration of the proceedings depends on the complexity of the case – simple matters take about one month, while more complex cases may last several months.
